GENERAL TERMS AND CONDITIONS OF SALE

T&C - Lynara

These General Terms and Conditions of Sale (T&C) apply to all subscriptions to the Lynara SaaS platform, published by Navinspire AI, a French registered SAS company (SIRET 929 558 997 00011). They complement the Terms of Use and prevail over any contradictory document from the Client.

1PURPOSE

These T&C define:

  • subscription procedures
  • financial conditions
  • billing rules
  • obligations of the parties
  • termination procedures
  • liabilities

2SUBSCRIPTION AND ACCESS

Subscription involves:

  • creating an account,
  • validating the Terms of Use and GDPR Policy,
  • choosing a subscription plan (monthly or annual),
  • advance payment when applicable.

Access is activated upon payment validation.

3PRICING AND BILLING

3.1. Pricing

Prices displayed on the site are in euros excluding tax (ET). They may be revised at any time, with 30 days' notice.

3.2. Billing

Monthly or annual billing according to Client's choice. Invoices are issued automatically and available from the "Billing" area.

3.3. Payment

  • credit card
  • SEPA transfer (business option)
  • automatic debit

No service is provided in case of refused payment.

3.4. Late payment

Automatic suspension after 7 days, legal late payment interest and collection fees applicable.

3.5. BYOK subscriptions

Costs related to external APIs are not included in Lynara prices.

4DURATION AND RENEWAL

The contract is concluded for the chosen duration (monthly or annual) with automatic renewal. The Client can disable renewal in their administrator area.

5TERMINATION

Termination possible immediately (monthly) or on the anniversary date (annual). No refund is made for periods started.

6CHANGES TO PRICES AND SERVICES

Navinspire AI may update pricing, AI models and features. Any major change is notified 30 days in advance.

7LIABILITY

Obligation of means. Liability excluded in case of:

  • misuse of Lynara,
  • errors due to third-party AI (hallucinations),
  • misconfigured BYOK,
  • incident on a cloud/AI provider,
  • indirect loss, force majeure.

8DATA PORTABILITY

Read-only access for 30 days, export possible, then deletion/anonymization.

9APPLICABLE LAW

These T&C are governed by French law. Any dispute falls under the jurisdiction of Paris courts.
